Video summary
The Central Vermont Career Center board meeting held on August 5th began with a lighthearted correction regarding the date and a humorous acknowledgment of time travel before addressing administrative matters. A significant update came from Jody, who announced her retirement plans to move to Italy, necessitating her resignation from the Waitsfield/Harwood school board prior to the end of her term. She expressed gratitude for her tenure on the board and is currently seeking a replacement to ensure continuity, hoping to have a new member in place by September to avoid disrupting budgeting cycles. Additionally, the board received correspondence regarding their ongoing facilities project at Washington Central, with members noting that while there is serious interest from the community, the timeline for marketing bond proposals is becoming increasingly tight due to various logistical hurdles.
The discussion on the Washington Central campus expansion revealed mixed sentiments regarding the November bond vote deadline. While the architectural plans developed by David Epstein were praised as excellent and well-situated, board members expressed skepticism about the feasibility of meeting all community concerns before the November election. Key issues included capacity questions from the Washington Central district, which is considering becoming a regional high school, and discomfort with a drafty lease agreement that lacked sufficient detail. Although the board has permission to continue working with legal counsel Sean Tuohy to finalize the lease terms, the group agreed that rushing the process could lead to errors or insufficient community buy-in. Consequently, there was a consensus that if November proves unfeasible due to these barriers, the project might need to be delayed until March, despite the associated increase in costs and potential decline in voter turnout.
Financial and operational updates provided further insight into the district's current status and future strategies. The business manager reported that the audit for fiscal year 2025 was completed with no findings, clarifying that previous concerns about budget overspending were due to authorized use of fund balances for specific projects like the welding shop. The board also discussed a new shared services arrangement with Barry Unified Union School District (BUUSD), which would integrate payroll, accounts payable, and human resources functions starting in phase one. This collaboration aims to improve efficiency and transparency, though it requires careful management of risks associated with handling congressionally directed funds for other technical centers. Furthermore, the board approved a new cardiac emergency response plan drafted by Carl, merging his original draft with a model policy to ensure safety standards are met across the building.
The meeting concluded with several action items and strategic decisions regarding governance and future planning. The board voted to approve the first reading of the cardiac emergency plan but decided to table the adoption of the strategic plan for further review by the program quality committee. They also authorized legal agreements to work on the Washington Central lease and amendments to the current facilities use agreement, empowering their legal firm to handle these documents with flexibility. A notable administrative change involves the treasurer position; due to a conflict of interest involving an assistant business manager who is relocating to Italy, the board will need to appoint a new resident treasurer from Barry or CVCC by August 24th. Finally, the board agreed to postpone goal-setting discussions to the next meeting in September, allowing time for the joint meeting with Washington Central scheduled for August 19th to provide clarity on whether a special vote is necessary before the November deadline.

Okay, well, let's call this board
meeting to order.
Uh it's the Central Vermont Career
Center. It's Monday, June
>> That's the 5th.
>> August.
>> 5th.
>> 5th of August on the agenda.
>> No, it's the right day. Wrong date.
>> Wrong date. Okay, August
>> Got it.
>> Superintendent failed.
>> No, we just we just did we traveled back
in time.
>> Yes, we did.
>> That's right. We time traveled back.
>> Okay.
>> [laughter]
>> Um
First point, any comments
not on the agenda?
>> Should Jody say
make a comment now?
>> Yes.
>> Okay.
So,
I've only been on this board a short
time, but somehow during [clears throat]
the summer, I came to the realization
that my husband and I are retired. He's
wanted to live in Italy for a long time.
And so, we're planning a trip to Italy.
Hopefully, leaving in January for 12
months. We have to get a special visa.
But so, that means that I'm going to
have to step down from the Waitsfield
the the Harwood school board
um prior to my term ending. And I'm
trying to find a replacement. But then,
I also need to um helping to find a
replacement to this board from the
Harwood board. And I
have a good person in mind. He was
hesitant to commit, but he was willing
to kick in if anyone else called me
back. And so far, nobody else has
responded to my request.
>> [clears throat]
>> So, anyway, there should be more
information coming, but I'm hoping that
we will get somebody started early in
the year so they don't just jump on and
you know, when we're in the middle of
budgeting and and doing all that. So,
I'm really hoping that
um by September I will have everything
set.
>> Okay, so you're here till January.
>> So, technically you're here till
January, but
>> or until this person can start.
>> the person can start.
>> Thank you so much.
>> Okay, but I really enjoyed this board
and it's like I reconnected with a lot
of stuff from my past and
so, I really it's really a great board
and I don't know how I'll feel like
doing when I get back and everything,
but we'll see. I don't know if I'll run
for the board again.
Lesson for punishment.
>> Okay, great. Well, thank you real much.
Dallas.
>> I am.
>> Yeah, we all are.
We're going to all take a field trip.
>> Yeah, well, that's what I I already have
my liquid ready in the bag.
>> K&E, agenda revisions or board comment?
>> Uh revision on the date.
>> Thank you.
>> What year is it?
>> Good job.
>> The year was great.
>> Uh Jody, any public comments or
correspondence? Any correspondence?
>> No, Bobby's was the only correspondence
today.
>> [clears throat]
>> Okay.
>> I do have members of the facilities work
group checking in to see where we're at
with Washington Central and
>> Yeah.
>> wanting to be able to share publicly
when we're ready to move forward with
marketing for the bonds. So.
>> That's great people are interested and
serious. Good.
>> [clears throat]
>> Is anybody else online tonight?
>> Not yet.
>> Okay.
So, move to the consent agenda and
approval of the minutes from
>> [snorts and clears throat]
>> is that August 6th?
>> No, it is actually
>> It's actually
>> If we
have a
>> July.
>> June and June. June 8th and June 15th.
So we
>> Second.
>> All those in favor of approving the
minutes?
>> Aye.
>> Any opposed?
Minutes are approved. Okay, board
reports.
>> Students are on vacation.
>> Okay, students are on vacation.
>> And we don't have program presentations
during the summer.
>> Okay, excellent. Any committee reports?
>> Uh the facilities committee.
>> Yeah.
>> Andrew, I missed the last meeting.
>> Oh my goodness,
Andrew.
>> Oh well. Jody, what do you want to tell
the board?
>> our last facilities meeting was last
week [clears throat] and we basically
reviewed the presentation that I gave to
Washington Central on Wednesday of last
week.
So that's pretty much where we focused
our time in that meeting.
Uh the architects updated us a little
bit on the floor plans and the current
state of
the
asking for pricing and all the little
pieces like wetlands delineation. So the
wetlands were delineated actually last
Friday um on U-32, so they have our
architects have that information now.
And
um
there hasn't been anything with the
Agency of Natural Resources of concern
around it and they did have some
conversation with the City of Montpelier
around uh the water and septic and we
would need to add some cisterns or pump
system in order to get the water up the
hill for additional an additional
building. Um but that's not anything
that they aren't concerned about.
Uh at the presentation at Washington
Central, the biggest thing that came up
was concern about if they
I'm going to back up and say that I
think Washington Central hasn't had a
lot of time to think about this and
definitely not been thinking about it as
long as we have. And so, as they think
about what the future could hold for
them, and they think about the idea of
becoming a potential regional high
school, they haven't thought about
whether they have room for all the
students that could end up there if that
were to happen. And do they want to give
the prime prime real estate to us?
Do they need to think about their
capacity and what they can host there?
Do they need to think of themselves in
the future as a high school campus at
U-32? Or is it a middle school and high
school, and what does that mean? And so,
they had some capacity questions, and
they really wanted some feedback from
their facilities director, who has not
played a role in this at all, other than
talking to our architects when they were
on site.
Um so, they were going to get him to
their next meeting, which is on the
19th,
and try to get some information around
that. I will say that with those
questions that came up at that meeting,
our architect team already went to work
to answer some of those. And so, we I
will have a one-pager for them, um that
their board chair will have by the end
of this week.
We will get our pricing back on Friday
internally,
and we will have that turned around and
ready for our next facilities meeting,
which is scheduled for the 18th.
And then, I will also have to attend the
Washington Central meeting to kind of
follow up with any of the continuing
concerns there.
I think that's it.
>> So, I don't know if everybody's had a
chance to look at the new plans that the
architects have
developed, but they're really
wonderful.
They've got a great plan, beautiful
facility, well situated on the site, and
to me, it's very positive, and I think
some of these bigger questions that the
board at um
U-32 is asking, they're important
questions,
but I don't know that they're going to
be a giant barrier for us, because I
think we have a very compelling argument
uh for expanding our services especially
in light of changes in public education
and it's a perfect location for a
regional high school and like Michelle
you know setting the example of where
schools can really make a difference in
their communities.
>> I don't think anyone was against
[clears throat] us continuing forward
with our campus. Having a campus there
is just whether that's the right
location and whether November is the
right time frame for them to have all of
their answers their questions answered.
Oh, the other piece of that was that the
there was a
very very drafty lease agreement
in there and because it lacked details
they're definitely not comfortable with
that. I don't blame them.
But what we did get was approval to
continue working with Sean Tuohy
to be able to get those details nailed
down and so that you need to approve
that tonight as well that we can
continue to work with him because again
just as Michelle was talking about
earlier we all use the same legal firm.
And so we need permission. So Washington
Central already gave permission for us
to move forward with Sean on developing
the details of this lease agreement. So
what there are some pieces that they're
going to have to fill in the blanks but
we'll try to fill in as many as we can.
>> Does any of this have to do with
using the spaces this year?
Or is that
>> No.
>> done? That's all set.
>> There's We're not using any spaces this
year.
>> early childhood in that
all that committee.
>> We have early childhood on campus and
they're just visiting but
>> Oh, I thought that I thought we were
going to do a space over at
>> No.
>> small players.
>> That was like
>> Six months ago.
Any question any questions for Jody?
>> I just had a question too. Um
the architect was Epstein.
>> David Epstein.
>> David Epstein You saying you know what
you're are for are you know, are there
any deal breakers? Did you get a sense
of that in the meeting with them that
there might be something that would be a
real deal breaker?
>> I don't think there's a deal breaker. I
do think that there could be barriers
that make it difficult for a November
vote. Our time frame for marketing is
getting smaller and smaller.
>> Yeah. Yeah. Yeah.
>> The The window for everything gets
smaller and when you have a group of a
community that really hasn't thought
about this because they've been quite
frankly really busy with our closing our
two our small elementary schools. Are we
Where do we get a superintendent cuz we
don't have one right now?
>> Right.
>> When you're dealing with those things
it's really hard to look at this future
focused thing that's something else.
Right. So,
I do think there could be something that
breaks the November bond vote
possibility, but I don't think the
project as a whole.
>> Great. It's nice to have that.
>> If not November, then March would
probably be the next time meeting.
>> And of course everything every time you
delay, the costs go up of everything.
>> Okay. I'm just curious.
>> But yes, March.
>> And voter turnout may go down, things
like that. So
>> Does it have to be that you wait till
March or could you call a special vote?
>> I don't know about special vote.
>> It's We could call a special vote.
It would be more expensive and
town first not love us.
>> Would not love us to do that.
>> Nobody would.
>> And turn out would be holidays.
>> Yes, turn out would be tough.
>> [clears throat]
>> Yeah.
Yeah.
>> Andrew, any other perspective from
>> Uh the board
>> All the major talking points were
covered by Jody. I think that was the
same. I will echo the sentiment that
there's a lot going on right now.
Offer skepticism on on the November time
line.
>> Yeah.
Thank you very much.
>> I like that word better. Skepticism.
>> Skepticism. Okay.
>> And cautious.
>> Skepticism.
>> Mhm. I was cautiously optimistic.
But now I'm not.
Okay, moving on. Program quality.
>> Do we have a minute?
>> You haven't met. Okay.
>> No, normally we meet ahead of this
meeting.
However, the strategic
>> a great retreat.
>> Yeah.
>> Right?
>> Yes.
>> Strategic plan, yes, Jody.
>> Well, that's under program quality
because that's the place where we most
frequently look at it. Um for tonight,
you've seen it, so you can choose to
move it forward tonight or you can
choose to let it go so that program
quality can take a another look at it
and think about um some of the things
that we talked about in our retreat and
determine
any other updates or next steps.
So, we can discuss that when we get to
it in the action agenda.
>> Do you want to discuss it then
or discuss it now?
>> It doesn't matter to me.
>> Let's discuss it then.
>> Okay,
let's do it then. All right,
superintendent's report.
>> We had five of us went to the Southern
Regional Education Board conference in
Nashville. It was wonderful. Michelle
and I got to present mostly to our our
instructors. Um we were asked to present
about how we created a new district and
we had a few folks in the room that were
not um
from Vermont or from our district, but I
think what we got from our instructors
is that they had no idea of all the work
that went into creating a new district.
And so, they had a new appreciation of
the fact that we don't share everything
that we're doing with all the staff cuz
they were
impressed number one by the amount of
tasks that were completed to create a
new district. So, I think that was good.
Uh we also held the um winning record in
the escape room for
a few hours at least, maybe a day, maybe
overnight. Um so, that was a lot of fun
and
and I think our secret weapon was
Michelle's kids, to be honest.
They're great.
Um
we also had welcomed Seth and Felicia
aboard with a team bonding activity of
painting the office.
>> Awesome.
>> [laughter]
>> So we did a
uh
well, we had asked for facilities to
paint and they were we were told they
were only able to do the foyer.
So we got this beautiful It's in our our
colors, so our gray, the silver gray
that we have, and then we still have the
navy. So it's silver and and navy
instead of the
weird orange yellow.
Um so we did the main office and then I
noticed that um
another room got done this past week, so
>> This morning.
>> This morning. So it's cool to see it all
starting to change cuz the yellow
doesn't look good anymore. I used to
like it.
Um but it's it's kind of
toning us down and calming us.
>> Okay.
>> It's great. But it was a fun activity.
>> That's fun. Yeah, that's good.
That's it from the superintendent's
report.
>> That's it. Yeah, it's summer.
>> Business manager's report.
>> All right. I write.
>> Something about shared services?
>> Yeah.
Uh
>> [laughter]
>> Human resources, we're currently
checking references for our final uh lab
assistant position. That's going to be
the one that um helps with some heavy
trades. I
uh it's being paid for by the
congressionally directed spending.
That grant that we got, that
>> [snorts]
>> all the tech centers got. We had We
wanted to hire a lab assistant to this
year and continue next year and hire an
additional lab assistant to to support
those um heavy trades programs.
We were hopeful we were going to bring
in candidate forward tonight, but we
haven't been able to finish up their
reference checks. So shortly.
Um EEI did work in the electrical shop
space. They took out the classroom space
and now we have this
um giant much larger space. So, their
classroom's going to be upstairs and
their shop will be downstairs.
Um we're working with Nick Cheruk again
um for the upcoming bond campaign.
Hoping we can
really get that kick-started soon.
This time last year, by July 1st, we
were up and running. So, I do feel like
we're a little bit behind. So, um
we're going to be asking a lot if we are
going to go forward with the November
bond vote from you folks.
>> When do we have to decide?
>> the sideline's status that Nick has just
stepped up and and downtown plan
he's taken on the kind of executive
director role. So, once the legislative
session is up and running, he's going to
have to transition to that.
>> Do
>> work.
>> Do we should we make that decision
sooner rather than later or is that
too early to to call the the November
I mean, I I feel like
are we going to
sit on it and then just have to go or
should we make that decision sooner
rather than later and
get our ducks in a row for March?
>> I think we had um
the facilities committee had on the
timeline an August 24th joint meeting
for Washington school
and school district.
I think we need to just set that as
we're going to have a second on this
meeting
and make the decision now.
>> We have to because September 14th is
going to be the deadline that the board
has to approved the warning language.
>> Mhm.
Mhm.
>> 9:00 a.m.
And then
September 27th, we need You want posting
warnings?
>> Wasn't Wasn't all of the
post mortem that we did on the last one
that we did that we went too fast or too
late, too fast, not enough.
>> Mhm.
>> Anyway,
I It feels like we're going to do that
again, but
let's wait and see what happens.
>> And some of the members of the work
group who, you know, spent December to
April weekly working on this new
proposal feel like if we are not doing
it, what did they give us that time for?
>> There's a gentleman, Mallory, what's he
>> Hello.
>> Mallory, has he been calling you?
>> Yes.
>> I wonder where he stands on all of this.
>> He's ready to like put the word out on
the street that this is the right He's
waiting for the
>> Good. The go
>> numbers to go back
>> Okay.
>> and the go ahead to
>> Yeah, cuz he's a key
>> get that out there.
>> He's a key leader.
>> But he has been talking to people in
Berry for sure.
>> Okay.
Well, it's a big question.
>> Yep.
>> Right? Whether we say go or no go.
I
We're not really on that, but we're sort
of on that. I think that lease agreement
is essential.
>> Yes.
>> And I know all the board members at E32
want that lease agreement, we want that
lease agreement.
It doesn't have to be rock solid, but it
needs to give them some certainty about
how it's going to work out. And once we
have that,
everything else is a question mark
anyway.
>> Yeah.
>> And so it's like
let's just go.
Right? Why not? If we can get that lease
agreement
That's That's how I feel about
>> Yes, there is the timeline.
So, we don't have to make that We are
not making that decision tonight, but in
the next
>> 2 weeks.
>> Yeah.
>> Or if we don't like some things, the
decision will be made for us and we will
not be able to
>> Yeah, right now there's no way.
>> Um I got the audit draft
from last from FY25,
but I had some requests for a few
updates. Um, that's the one that we we
shared last spring that I had said we
were delayed. Um, but we are already on
track for this year. They're on site in
September. So, we're back on the actual
the regular schedule that we should be.
There were no findings. Overall results
were exactly where we thought they would
be. So, there there's nothing nothing
that I'm concerned about, nothing that
you all should be concerned about. It
was just a few little things um they
missed. They said we overspent our
budget, but we didn't truly overspend
our budget. We authorized the use of um
the fund balance to pay for the
electrical classroom.
Or the what? Sorry, the welding the
welding shop. We're still that far back.
>> Mhm.
>> Um, so I just wanted them to be very
clear on those sorts of things in the
notes. So, if if somebody that hasn't
followed us doesn't know I what we're
doing if they're just reading our
financial statements that it's very
clear that it was truly intended we were
intending to do so.
>> Michelle, can I just uh go backwards for
a really quickly?
>> Yep.
>> The table in here
>> Oh, yeah.
>> that that's 26 27.
>> Yep.
>> Okay.
I
>> You know, first of the year.
>> Sweet. At first I was like, "Wow, that
balance." And then
>> Ooh.
No, no. We were much closer this year. I
want to say we were within $200,000 of
our budget. I'm pretty sure that's what
we wanted to be. We still have a couple
things outstanding, so we don't have
those final numbers yet.
That's it. And then pretty soon we're
talking about budget for next year,
FY28. So,
you guys have any ideas or things that
are going to be coming up
you're to let me know.
Get that started.
>> Still going to come to our meetings?
>> Get that started early. Yeah, that's
Yes, how we're going to do our budget
report.
>> Okay.
>> So, on the shared services conversation,
I sus- I I suspect like uh I think
Bobby, you mentioned it
amidst a bunch of different things, but
there would be some sort of like MOU,
something that that describes the
arrangement in detail that we would then
as a board review. Is that correct?
>> Yeah, we will and likely will be very
minimal this first year of this is just
the expectations and then moving forward
coming to this and everything that's
much more formalized which will have
numbers and
>> If you agree to do it, it's on your
action item.
>> Yeah.
>> Congressionally Congressionally directed
funds, I can't speak tonight.
Um
We were allocated the funds. We still
can't quite see them. We're reaching out
to see why we can't actually see the
number yet to draw down. It's a 1.4
million million dollars. Um we just
can't quite see it in our portal yet.
>> 2.4.
>> I thought it was 2.5 or 2.4.
>> 2.4.
>> Okay, good.
>> Um we just can't draw down yet, so we
can't we can't subgrant it until it's
officially it's officially granted to
us.
There's some technical things we just
need to work out, but um Cindy or
technical centers have been applying for
those funds through us already. They've
been completing the applications, so
we're ready to draft those agreements
and start getting the funds to the other
ice centers.
>> Is that your responsibility to review
those applications?
>> Yep, we have to review those
applications.
>> yeah.
>> Review the applications, do the draft
the documents. We did it a little
differently than normally
with the AOE, they have you fill out a
bunch of paperwork, promise paperwork.
You ask for the money and then they send
you a grant agreement and then at any
point in the future they may audit you.
I also included when they were
applying for it, I did some of the
pre-audit checklist. Like I wanted them
to upload policies and procedures so I
could make sure that they were already
there and not going back after because I
really don't want to audit anybody.
Um
Ruth Gerke at Day, we made it very clear
multiple times to the tech centers that
CVCC is taking on a huge risk and a
liability. Not that it's a bad thing, we
are risk
But we are taking on a lot of risk doing
this and so they need to be mindful of
any kind of situation that they may put
us in by not supplanting or using the
funds in any incorrect way.
>> Do we have somebody in place who can
back you up? Let's say that you're find
yourself overwhelmed
with the other organization, who's going
to take on the responsibility?
>> Uh we have an assistant business
manager.
>> Okay. Okay. And they
they have the qualifications to do this.
>> They do.
>> Plus the If you're talking about the
shared potential shared services, there
would be a grant manager.
>> Okay.
>> Mhm.
>> And they would be involved in this
grant, too.
>> Mhm.
>> [clears throat]
>> And then the shared services would be
USD. I will
draft something. Is that next Is there
something on the agenda later for an
action item?
>> Yes, but we don't have to go and have to
take action tonight.
>> Yep. We don't have to do anything.
I guess I should say something cuz this
is
now public.
>> Yeah.
>> There we go. Um USD and CVCC are talking
about doing some shared services which
include
HR, business office, potentially we
would look at facilities, technology in
the future, but that's not an immediate
action. This first year, which is phase
one, is integrating
payroll, accounts payable, some human
resources,
budgeting.
Um I've gotten
good feedback about how we do our
budgeting and our transparent
transparency.
And so I was asked if we could help
Barry as well.
So moving forward,
I will be representing both Central
Vermont Career Center and Barry Unified
Union
School District as their business
manager and we'll be sharing
office staff,
full utilization of office staff for
both offices.
>> Great. Well, congratulations on being
asked to do that big role.
>> Thank you.
>> Yeah, that says a lot about
you.
>> Thanks.
>> And your leader, of course.
All right, ready to move on board
discussion and action items.
Uh is Carl
online?
>> No, he was going to come in and he had
something come up, so he's
>> going to skip that.
>> Um it's just the first reading. He can
come back for the second reading.
Uh this is a new policy that's required.
Basically, Carl had drafted an entire
cardiac emergency response plan and that
we got the model policy delivered. And
so he basically just walked through the
two documents and merged them into the
format um
for us to have his plan.
I
think he will come in for our next
meeting, but I think if we can get this
first reading out of the way, then he
can come in with any questions you have.
>> Is this our longest policy?
>> It's got to be one of them. I know
um
yes, it is.
>> Probably.
>> So I I move that we approve the first
reading of
the um
cardiac
emergency response team plan. I'll
second.
>> I'll second.
>> We have a second. Any discussion on this
policy?
>> Yeah, I
did you bring it back to the SBA?
>> Uh no, we can do that.
>> Just because they took the time to read
>> Yeah, he he took his policy and put it
into theirs.
>> Well, then that's adding content to it,
correct? Or is it
>> So, he merged him with
>> them.
>> So, adding content to it and that kind
of starts the process of working
>> Could be a redundancy.
>> Uh does Spalding have one of these
policies?
>> We So, he shared this with the nurses
his original draft with the nurses um
and then got feedback.
>> Mhm.
>> And hoping that it would be the same
across
the building.
>> Mhm.
>> Yeah, that would make sense.
>> [snorts]
>> That would.
>> [laughter]
>> That is one because it's considered
safety.
>> Yeah.
>> I know I We have a separate um meeting
with him as well later this week and so
we can bring that up.
>> [snorts]
>> So, we have a motion on the table. How
do we want to move on that?
>> We Can I amend my motion to say
uh that we approve it
with the
recommendation or the
contingent upon
the SBA
>> I'll just say
>> reading, right? So,
>> it can come back at it uh
>> Yeah, and we'll have If it's
substantive, it has to start over. So,
you can start now and then go back.
>> Yeah, let's do that cuz in case it's
not, then we can
Yeah, go through with it.
>> So, we're voting to approve
>> First reading.
>> If that's
>> Yes, that is what I do.
>> No amendment.
>> And it was seconded by Jason. Okay, all
those in favor of approving this first
reading, say aye.
>> Aye.
>> Any opposed?
First reading's been approved.
And we'll make sure SBA looks it over.
>> [clears throat]
>> Adoption of the strategic plan.
>> This is where you need to decide if
you're ready to adopt it or if you'd
still like program quality to
discuss it further before I
>> Do we Is there a reason why we would
want it adopted sooner rather than
later?
Just thinking.
Seems like having program quality
>> Yeah.
>> good eyes on it makes sense.
>> I agree.
>> Guys have already had eyes on it.
>> Yeah, but they
>> You want to put more eyes on it.
>> Yeah.
>> Okay.
>> Doesn't hurt.
>> The eyes have it.
Uh second
I always like saying
I like the shelves have it joke. That
was good.
>> Yeah, that was good.
>> [laughter]
>> Okay, so we're tabling that. Does that
take a motion or is that just okay?
Thank you.
>> We do not have a new hire for lab
assistant yet.
>> Okay, so we don't need to do that.
Shared services.
Mhm.
Do we have a motion to um
approve the shared services with BUUSD?
>> [snorts]
>> I make a move to it.
>> Do we have to do that?
>> You don't have to do that.
>> They don't have to.
>> No.
You don't have to.
>> There's nothing to approve, right?
>> There's nothing.
>> It's only a concept.
>> Oh.
>> Then we have no power or authority.
>> [snorts]
>> You don't have anything you have to do
right now.
>> There's nothing you have to do.
>> It's not action right now.
>> No action. Okay.
How about a plants of treasure?
>> So, this actually
>> Huh?
>> No action at this time. Um this will
bring up This one we will have to do,
but again, it's going to be
need to be moved because we haven't been
able to find a new treasure. So, the new
assistant business manager at BUUSD will
also be helping CVCCC CVCC is Ashley
Young, and she's the appointed treasurer
for both school districts right now. So,
her becoming an employee is a conflict
of interest. So, I suggest that as of
the 24th of August, she resigns from the
position, and that will allow the board
to appoint someone else.
I checked in with both
uh
well, Barry Town city clerk is
is a Barry Town clerk is also our clerk
at the board clerk. Barry City
town clerk is unable to become our
treasurer. She doesn't She's not able.
She doesn't have the capacity. So, if
anybody has any any ideas,
let me know.
I would suggest that Barry and CVCC have
the same
same treasurer because it makes sense
that we're just going to one person to
sign over checks. That means that they
need to be a resident of Barry City or
Barry Town.
>> Huh.
>> If it was just us, we could have anybody
in any of our towns, because we likely
should share that service. It needs to
be very town or very city. So, if
anybody knows of anybody in those towns
>> What's the requirement to be the
treasurer?
>> A resident.
>> That's it?
>> They have to be able to sign their name.
>> And see,
is it appropriate to have the same
person for both
CVCC and
>> Mhm. Yep.
>> Okay, so there's no conflict of
interest.
>> Nope.
>> Okay.
>> We've always
We haven't always, but we used to use
just the city clerk's, town clerk's,
something like that, an appointed
position. We felt that that gave them
some
value to the community. You know, a
public-facing person, so it wasn't just
somebody signing our checks. So, I would
definitely have that in mind,
but that's not a requirement.
Um, it is required that they're
accessible to us, um, physically
accessible to us.
The checks are not They're all signed
electronically, but we occasionally do
need wet signatures on things, so having
somebody that's not physically located
They might be a resident, but they're
living
They're in Italy for a year. We can't
use them.
>> [laughter]
>> I'm going to assume that it cannot be a
board member.
>> It cannot be a board member.
>> Mhm. If the guy was always around.
>> Yeah.
Yeah.
>> [laughter]
>> No.
>> Well, we'll take your recommendation on
it.
>> Yeah, we're asking around right now. The
other staff I kind of scrolled the staff
directory at both the city and the town.
A lot of them aren't residents.
Cuz they're and they're not elected
officials, like they're just employees,
so
>> They need to be an elected official?
>> They do not need to be.
>> Oh.
>> But if you are, you are a resident of
the town or the city.
>> Okay. [snorts]
>> So, we can start thinking about that.
>> Well, I guess leave that up to you then.
>> Good.
Just see it sooner than later.
>> 5.4
Legal agreement edits.
>> This is where we need permission from
this board to work with Shawn Tuohy on
two different agreements. One, the draft
lease agreement for the facilities
project at Washington Central, and two,
an amendment to our current facilities
use agreement with Barry. Right now, one
of the things that we would like to
amend is the fact that it says we're
going to
that the lease the facilities use
agreement costs are based on the
budgeted amount, and then later it says
the actuals. We've never actually
writed it back to the actuals, so we
want to make sure that whatever we
decide it's
it's the same for both,
and that we use that moving forward.
Did I say that the right way, Shawn?
>> You did. I was just thinking rather than
say for Shawn Tuohy to do it, if we
could just say their legal firm.
>> Linn Linn Blackman and Tuohy.
That would be helpful.
>> Then we have
more flexibility.
>> Any of those attorneys can work on it
just in case.
>> Yep.
Okay.
>> I'll make that motion.
As edited.
>> Thank you.
>> Do we have a second?
>> I'll second.
>> Thank you, Brooke. Okay.
Any further discussion?
All those in favor of
using the legal firm, empowering them to
work on these agreements, please say I.
>> I. I. I.
>> Any opposed?
Hearing none, the motion passes.
>> [clears throat]
>> Last thing isn't an action item, but
just giving you a
look at our new program of studies. We
have a different firm that we're working
with for our program of studies and
annual report this year.
So, it's a the refreshed program of
studies.
And it's about to go to print today.
>> Yeah, it looks good.
>> So, if you have any edits, let me know.
>> By when?
>> Yeah.
>> Yesterday.
>> Uh yesterday, yeah.
>> No, I
>> [laughter]
>> think like two
This week is fine. Like by Friday.
[clears throat]
>> That's great.
>> [laughter]
>> And even though they're in um
double pages, those will be full-size
pages.
>> Yeah, I see what you
>> Yeah, they're not going to be little
like
they're not going to have a
big cover and then little inside pages.
It's going to be all going to be the
same.
>> Good.
Okay, excellent.
Do we need to go into executive session?
>> No, we do not.
>> I didn't think so.
Sure.
Uh
any future any other future agenda
items?
Or anybody want to discuss these future
agenda items?
>> Yeah, just that we want to we put the
goal setting off
to the next uh
to the next meeting, I guess, right?
>> Yeah.
>> So, just that half of the first bullet
point.
We're going to go
>> Do you want that at the August 24th, or
do you want that at the next regular
meeting in September?
>> Yeah.
>> Thank you.
>> September?
>> September.
>> Board meeting.
August 24th, we're going to have a lot
to talk about.
Special meeting.
>> Yes.
>> And that's the joint.
>> That was the intention. I think we'll
get a good sense of whether that's
needed then on the 19th.
In time to
warn it or not.
Cuz Washington Central has
way too many people making straight
down. Yeah.
>> Yeah.
>> And a little squished, too.
>> Yeah, I'm sure.
>> [snorts]
>> Where's Jane?
>> She's at a tennis game.
>> She's at her job, though.
>> I know I Well, I copy paste.
>> Yeah, are we ready ready to adjourn?
>> Somebody's got to do it.
>> I'll move
we adjourn.
>> Thank you, Scott.
>> We don't need a motion. We need a
second. We don't need a We need a
second.
>> Do we?
>> Yeah, you do. We don't need a
>> So,
>> I
think anybody second?
>> Yeah.
>> No.
>> [laughter]
>> All right, fantastic. Thank you,
everybody.
>> What what
Yeah, take your brochures.
>> That was fun.
Take your cheese.
>> [music]
